The old shifter had only trouble into 3rd after driving it a bit, and went
into 4th no prob. but the new one does not go into anything after 2nd at
ALL. it grinds and gives me absolute crap.Ive done all the adjusting I
thought would help, but it just aint happenin. :-/

I take it that 4th is not a problem?
Normally there is a bit of adjusting to do when you tighten down the bolts
that
hold the shifter plate, but if 4th is not a problem I don't see how 3rd
would
be.
Have you checked the oil level in the gearbox lately? It should be filled up
to
the bottom of the fill hole with GL-4, not GL-5.
